1. Agreement to these terms

These terms are an agreement between you and Palm Harbor Happenings, LLC ("PHH", "we", "us"), which runs palmharborhappenings.com and its related pages, accounts and features (the "Service"). By using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. Who can use the Service

You must be at least 13 years old to use the Service. To create a business account or buy a paid listing, you must be at least 18 and have the authority to act for the business you list.

3. Accounts

You can create an account with an email address and password, or by signing in with Facebook or Google. Keep your sign-in details private and tell us right away if you think someone else has used your account. You are responsible for what happens under your account. Give us accurate information and keep it up to date.

4. Business directory disclaimer

The PHH Business Directory lists PHH members and other businesses in our community. It is a listing only. A listing, a "Featured" or "Premium" label, an ad, or a rating shown on the site is not an endorsement or recommendation by PHH.

We do not investigate or guarantee the accuracy, legality or reliability of any listing, or of the products, services, ratings, deals or promotions shown on or linked from the site. Any dealings you have with a listed business, including payment, delivery, warranties and promises, are between you and that business. PHH is not responsible for any loss or damage that comes from those dealings.

5. Business listings

If you manage a listing, you agree that:

• You are authorized to represent the business.
• Everything in your listing is true, current and lawful. That includes any license, certification, insurance, award or pricing claim, and any deal or promotion you offer.
• You will honor the deals and promotions you post.
• You own, or have permission to use, the text, logos and photos you upload, and they do not violate anyone else's rights.

We review listings and may require more information before we publish one. We may edit formatting, decline, pause or remove any listing, photo or deal, for example if it is inaccurate, misleading, or breaks these terms. Our directory may also include basic information about local businesses from public sources. If you want a listing for your business corrected or removed, contact us.

6. Paid listings and subscriptions

• Price and billing. Paid listings are monthly subscriptions at the price shown when you sign up. Payments are processed by Stripe.
• Automatic renewal. Your subscription renews automatically each month and your payment method is charged each month until you cancel.
• How to cancel. You can cancel at any time from the billing section of your dashboard where that option is shown, or by emailing [email protected], and we will confirm by email. However you cancel, your paid features stay active until the end of the month you have paid for, and then your listing moves to the free plan.
• Refunds. We do not give refunds for partial months. If we decline or cancel your paid listing after you have been charged, we refund the charge for that month, unless we removed the listing because it broke these terms. Full details are in our Refund Policy.
• Price changes. If we change the price of your plan, we will tell you before the change applies to you, and you can cancel before it does.

7. Content you send us

"Your content" means anything you submit, such as listing details, photos, event submissions and messages. You keep ownership of your content. You give PHH a non-exclusive, royalty-free license to host, display, copy, format and share your content on the Service and in our related newsletter and social media posts that promote the Service and local happenings. This license ends when your content is removed from the Service, except for copies that were already shared or that we must keep by law.

Event submissions are reviewed before they appear, and we may edit them for length, clarity or accuracy, or choose not to publish them.

8. Acceptable use

When you use the Service, you agree not to:

• Post false, misleading, illegal, hateful, harassing or adult content.
• Pretend to be another person or business, or list a business you do not represent.
• Send spam or use the site's forms to advertise unrelated products.
• Scrape, copy or collect information from the Service in bulk without our written permission.
• Try to break into, overload or interfere with the Service, or get around its security or limits.
• Cheat at or tamper with the Word Harbor game or any other feature.

9. Word Harbor and other games

Word Harbor and any other games on the site are free, for fun only, and have no prizes or cash value. Game progress and streaks may be reset or changed at any time.

10. Ads, third-party links and services

The Service shows ads from local businesses and links to other websites. We do not control and are not responsible for those websites or businesses. Some features rely on other companies, such as Stripe for payments and Facebook or Google for sign-in, and their own terms also apply when you use them.

11. Our content

The Service's design, logo, articles, photos and other content we create belong to PHH or our licensors. You may view and share links to our pages for personal, non-commercial use, but you may not copy or republish our content without permission.

12. Disclaimers

The Service is provided "as is" and "as available". Information on the site, including event times, business details, beach and water conditions and news, can change or contain errors, so please confirm important details directly with the source. To the fullest extent the law allows, PHH makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent the law allows, PHH will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service. PHH's total liability for any claim related to the Service is limited to the greater of $100 or the amount you paid PHH in the 12 months before the claim. Some places do not allow these limits, so they may not all apply to you.

14. Your responsibility to us

If someone makes a claim against PHH because of your content, your listing, your business's dealings with customers, or your breaking these terms, you agree to cover PHH's reasonable costs and losses from that claim, including reasonable legal fees.

15. Suspension and ending your use

You can stop using the Service and ask us to delete your account at any time (see our Privacy Policy). We may suspend or close an account, or remove content, if it breaks these terms or puts other users or the Service at risk. Sections that by their nature should continue, such as the disclaimers and limits of liability, still apply after your use ends.

16. Changes to these terms

We may update these terms from time to time. We will post the new version on this page and change the effective date at the top. If a change is significant, we will give notice on the website or by email. Using the Service after a change means you accept the updated terms.

17. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Pinellas County, Florida, and you and PHH agree to those courts' jurisdiction. Either of us may bring a claim in small claims court instead if it qualifies.

18. General

If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a part of these terms right away, we have not given up the right to enforce it later. These terms, our Privacy Policy and our Refund Policy are the whole agreement between you and PHH about the Service.
